2. Scope of Work and Deliverables

Each project will have a clearly defined scope of work. The specific deliverables, timelines, and milestones for each project will be set forth in the service agreement or proposal.

  • Social Media Management: We will manage your social media accounts, including creating and posting content (e.g., videos, posts, stories) as agreed upon. We will also engage with your audience, monitor performance, and report results. The scope may change depending on the Client’s specific needs.

 

  • Influencer Partnerships: We will identify and connect your business with influencers whose audience aligns with your target market. Influencers will create content that reflects your brand’s voice, based on the agreed-upon campaign brief. The scope of the influencer partnership (e.g., the number of influencers or deliverables) will be outlined in the agreement.

 

  • Content Creation: This service is for one-time projects, such as producing video content (e.g., TikTok, Instagram reels) or graphics. The Client will receive finalized content, and revisions may be requested.

 

  • Additional Marketing Services: The initial Agreement will be looked upon and the scope of work and deliverables will be discussed before the Company begins working on the project.


Deliverables will be sent to the Client for approval via email or any preferred communication platform. Once the Client approves the deliverables, the project will be considered complete. If revisions are requested, we will make reasonable changes to meet the Client’s requirements.

1. Services Provided

Promotionify provides a variety of marketing-related services. These services are designed to help businesses enhance their online presence, engage with their target audience, and achieve their marketing goals. Our core services include:

  • Social Media Marketing: Full social media management, including content creation, strategy, posting, community management, and analytics.

  • Influencer Partnerships: Connecting businesses with influencers to promote their products or services through social media and other platforms.

  • Content Creation: Production of creative content, such as videos, graphics, and marketing materials for social media, websites, and more.

  • Additional Marketing Services: Other services such as SEO, paid media (PPC), email marketing, web design, branding, and more. These services will be customized as per the specific needs of each Client.


We offer both project-based and recurring engagements, and the scope of work will be defined in the initial proposal or service agreement. The services may be billed hourly, project-based, or as part of a retainer, depending on the arrangement with the Client.

3. Payment Terms and Billing

The Client agrees to pay for services as outlined in the service agreement or proposal. Payment terms and schedules are as follows:

  • Project-Based Payment: The total payment is due upon completion or as per the agreed-upon payment schedule. A deposit or upfront payment may be required before the start of the project.

 

  • Hourly Payment: Services billed on an hourly basis will be invoiced regularly based on the hours worked. Hourly rates will be specified in the agreement.

 

  • Retainer or Recurring Payment: For ongoing services (e.g., social media management), the Client will be billed periodically (monthly, quarterly, etc.) according to the mutually agreed upon method and the service provided.

 

  • Late Payments: Any payment not received by the due date may incur a late fee of $20 or 10% of the total invoice amount of the month, whichever is lesser. The Company reserves the right to suspend services until payment is made in full.


Disputes: The Client must notify the Company within 7 days of receiving an invoice if there is any dispute regarding the charges. Failure to do so will result in the invoice being considered correct and due in full.

4. Refund Policy

Refund requests are handled according to our Refund Policy, which is incorporated into this Agreement. As outlined in the Refund Policy, refunds will be considered under specific conditions:

  • Material Breach of Contract: If the Company fails to deliver the agreed-upon services as outlined in the agreement.

  • Failure to Meet Performance Metrics: If measurable, agreed-upon performance metrics are not met.


Refunds are subject to the following:

  • Requests must be submitted within 14 calendar days of the Completion Date.

  • Refunds will be issued using the same payment method used for the initial payment unless otherwise agreed upon.

  • Refunds are not available for services that have been performed as agreed or if the Client has approved the deliverables.


Please refer to the Refund Policy for further conditions under which a refund will be initiated.

5. Intellectual Property Rights

  • Ownership of Deliverables: Upon full payment for services, the Client will own all rights, title, and interest in the final deliverables produced by the Company, including but not limited to graphics, content, videos, and marketing materials.

 

  • Use of Client Materials: The Company may use Client-provided materials (e.g., logos, photos, product information) solely for the purpose of completing the agreed-upon work. These materials will not be used for other Clients or purposes unless authorized in writing by the Client.

 

  • Exclusivity: All work created for the Client will be exclusive to the Client, and the Company will not reuse or repurpose any deliverables created for one Client for another, except where permitted by law.


The Client is free to use the work created by the Company for any lawful purpose. However, the Company will not be liable for any legal consequences resulting from the Client’s misuse of the work, including but not limited to violations of copyright, trademark, or other intellectual property laws.

6. Confidentiality and Data Protection


The Company is committed to maintaining the confidentiality of all Client information and data. We adhere to best practices to protect your data and prevent unauthorized access.

  • Confidential Information: The Company agrees not to disclose any confidential information provided by the Client to any third party, except as necessary to perform the services or as required by law.

  • Non-Disclosure Agreement (NDA): If requested by the Client, the Company will sign a Non-Disclosure Agreement (NDA) to further ensure confidentiality.


We will not share, sell, or misuse any data provided by the Client.

7. Client Responsibilities

The Client agrees to provide the necessary materials and information required to complete the project. This includes:

  • Timely delivery of content, assets, and approval for deliverables.

  • Clear communication regarding project expectations and revisions.

  • Payment for services in accordance with the agreed-upon terms.


Failure to provide the required materials or to communicate effectively may delay the project or result in additional fees.

8. Limitation of Liability

To the fullest extent permitted by law, the Company will not be liable for any indirect, incidental, consequential, special, or exemplary damages arising from the services provided, including lost profits, business interruption, or any other form of loss.

The Company’s total liability under this Agreement shall be limited to the total amount paid by the Client for the specific services giving rise to the claim.

9. Termination

This Agreement may be terminated under the following conditions:

By the Client: The Client may terminate the agreement with written notice. In the case of termination before completion, the Client will be required to pay for the work completed up to the termination date.

By the Company: The Company may terminate the agreement if the Client fails to comply with payment terms or other material obligations. In such cases, the Client will not be entitled to a refund.

Upon termination, the Client agrees to pay for all work completed up to the termination date.

These Terms and Conditions (the "Agreement") are a legal contract between Blaze Promotionify Business Solutions LLP (the "Company," "we," "us," or "our") and the client ("Client," "you," or "your"). By using our services or engaging with us, you acknowledge and agree to the terms outlined in this Agreement. This document governs the relationship between the Company and the Client for all services rendered.

10. Dispute Resolution

In the event of a dispute, the parties agree to attempt to resolve the matter through good-faith negotiation. If a resolution cannot be reached, the dispute will be resolved through Mutually agreed upon method.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of state of Jharkhand, India. without regard to its conflict of law principles.

12. Force Majeure

Neither party shall be held liable for failure to perform their obligations under this Agreement if such failure is caused by events outside of their control, including but not limited to natural disasters, war, strikes, or governmental actions.

13. Entire Agreement

This document constitutes the entire agreement between the parties concerning the subject matter hereof. Any amendments or modifications to this Agreement during the time of onboarding of the client must be in writing and signed by both parties.
